Welcome to PayAssure. These Terms and Conditions (“Terms”) govern your access to and use of the website https://payassure.us/ (the “Site”) and the services offered by PayAssure, a service of Federal Holdings (“we,” “us,” or “our”).

By accessing the Site or using our services, you agree to be bound by these Terms and our Privacy Policy. Please read them carefully. If you do not agree with any part of these Terms, you must not use our Site or services.

1. Description of Service

PayAssure provides a payroll protection plan designed to ensure federal employees who are plan members receive payroll replacement funds during a U.S. government shutdown. The service involves pre-registering for the plan, automatic deposits of funds after a missed paycheck during a shutdown, and subsequent repayment to Federal Holdings once the government issues back pay.

2. Eligibility and User Accounts

To use our services, you must be a current U.S. federal government employee, at least 18 years old, and legally capable of entering into binding contracts.

When you pre-register or create an account, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your information to keep it accurate.
  • Keep your account credentials confidential and be fully responsible for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

3. Pre-Registration and Enrollment

Pre-registering for the PayAssure plan allows you to secure a potential discount and indicates your interest in the service. Pre-registration does not obligate you to enroll or guarantee your eligibility. Full enrollment requires completing the application process, which may include providing personal, employment, and banking information, and agreeing to the specific terms of the PayAssure Plan Member Agreement.

4. Payment Terms

Plan Fees: The costs associated with the PayAssure plan will be detailed in your Plan Member Agreement upon full enrollment.

Payroll Replacement Funds: In the event of a government shutdown, we will deposit payroll replacement funds into your designated bank account after each missed government paycheck, according to the terms of your plan.

Repayment: Upon the conclusion of a government shutdown, you authorize the U.S. government or its payroll processing centers to direct your back pay to Federal Holdings to satisfy your repayment obligation. You are responsible for ensuring this transfer occurs. If back pay is sent directly to you, you are required to immediately remit the full amount of the funds advanced by us. Failure to do so constitutes a breach of these Terms and your Plan Member Agreement and may result in legal action to recover the funds.

5. User Responsibilities

You agree to use our Site and services only for lawful purposes. You are prohibited from:

  • Using the Site in any way that could damage, disable, or impair it.
  • Attempting to gain unauthorized access to any user accounts, computer systems, or networks.
  • Uploading or transmitting any material that is fraudulent, defamatory, or infringes on any third-party rights.
  • Misrepresenting your identity or affiliation with any person or entity.

6. Intellectual Property Rights

All content on the Site, including text, graphics, logos, images, and software, is the property of Federal Holdings or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our express written permission.

7. Disclaimers

The Site and services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the operation of the Site or the information, content, or materials included on it. To the fullest extent permissible by law, we disclaim all warranties, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

We do not warrant that the service will be uninterrupted or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. We are not responsible for any delays, delivery failures, or other damage resulting from issues inherent in the use of the internet and electronic communications.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PayAssure, Federal Holdings, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the service.
  • Any conduct or content of any third party on the service.
  • Any content obtained from the service.
  • Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for any and all claims arising out of your use of the service will not exceed the amount of fees you have paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless PayAssure, Federal Holdings, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site or services, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the state where Federal Holdings is incorporated, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the service shall be resolved through binding arbitration administered by a neutral arbitration service, rather than in court. By agreeing to these Terms, you waive your right to a jury trial and to participate in a class action lawsuit.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
